Preamble
These Terms of Use (“Terms”) constitute a legally binding agreement between you, the user (“you”, “User”), and Institute of Inclusion and Diversity, a digital services entity operating under Indian law (“IID”, “we”, “our”, or “us”).
These Terms govern your access to and use of the website located at www.theiid.com, including its associated subdomains and microsites—academy.theiid.com, solutions.theiid.com, and press.theiid.com (collectively, the “Platform”).
By accessing, browsing, registering with, or otherwise using any part of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by:
- These Terms of Use;
- Our Privacy Policy (incorporated herein by reference); and
- Any additional terms or conditions applicable to specific services or microsites accessed by you, including but not limited to Academy, Solutions, and Press.
If you do not agree to these Terms, the Privacy Policy, or any applicable microsite-specific terms, you must not access or use the Platform.
1. Scope and Binding Effect
1.1 These Terms of Use (“Terms”) govern your access to and use of the digital platform operated by Institute of Inclusion and Diversity (“IID”, “we”, “our”, or “us”), including the primary domain www.theiid.com and all associated microsites, including but not limited to:
- academy.theiid.com (IID Academy)
- solutions.theiid.com (IID Solutions)
- press.theiid.com (IID Press)
1.2 These Terms constitute a binding agreement between IID and you, the individual or entity accessing the Platform (“you” or “User”), whether as a visitor, registered user, organizational administrator, employee, contributor, or any other authorized role.
1.3 By accessing, browsing, registering on, or using any part of the Platform, you confirm that you:
- Have read and understood these Terms;
- Accept and agree to be legally bound by these Terms;
- Consent to the collection and processing of your personal data as described in our Privacy Policy; and
- Agree to any additional terms and conditions applicable to specific microsites or services you access (such as Academy, Solutions, or Press microsite terms).
1.4 If you do not agree with these Terms, the Privacy Policy, or any service-specific terms, you must not access or use the Platform or any of its services.
2. Platform Overview
2.1 The Institute of Inclusion and Diversity (“IID”) is India’s first integrated digital ecosystem dedicated to promoting Diversity, Equity, and Inclusion (DEI) across professional, academic, and organizational domains.
2.2 The Platform operates under the primary domain www.theiid.com and offers specialized services through the following microsites:
- IID Solutions (solutions.theiid.com): A cloud-based Software-as-a-Service (SaaS) toolkit designed to assist organizations in complying with the Prevention of Sexual Harassment (PoSH) Act, including features for policy generation, employee training, complaint management, and reporting.
- IID Academy (academy.theiid.com): An online learning platform that provides certification-based training in DEI and workplace compliance, developed in collaboration with reputed legal institutions.
- IID Press (press.theiid.com):A multimedia and content publishing microsite that supports the publication of DEI-focused books, research papers, documentaries, and thought leadership content submitted by professionals, academics, and organizations.
2.3 The Platform and its microsites are designed to serve a diverse audience, including:
- Micro, Small and Medium Enterprises (MSMEs)
- Human Resource and Legal Professionals
- Compliance Officers and IC Members
- Educators, Students, and Researchers
- DEI Advocates, Authors, and Policy Contributors
2.4 Each microsite may be governed by its own supplementary Terms of Use specific to its services, features, and applicable legal frameworks. By accessing any such microsite, you agree to comply with its corresponding terms in addition to these Platform-wide Terms.
3. Eligibility and Account Requirements
3.1 To access or use any part of the Platform, you must:
- Be at least eighteen (18) years of age; and
- Possess the legal capacity to enter into binding contracts under applicable Indian law.
3.2 By registering on the Platform, you represent and warrant that the information you provide is true, accurate, current, and complete, and that you will promptly update your information if it changes during your use of the Platform.
3.3 For services accessed via IID Solutions, only duly authorized representatives of an organization may create an administrative account. Such representatives must have the authority to bind the organization to these Terms and all related service-level agreements.
3.4 You are solely responsible for:
- Maintaining the confidentiality and security of your login credentials;
- Ensuring that your account is used in accordance with these Terms; and
- Immediately notifying IID of any suspected unauthorized use, security breach, or misuse of your account.
3.5 IID is not liable for any loss or damage arising from your failure to comply with the obligations under this Section, including unauthorized access resulting from compromised credentials.
4. User Roles and Access Rights
4.1 Access to specific features and services on the Platform is governed by the role you assume at the time of registration or use. Each user role carries distinct access rights, responsibilities, and limitations, which may be further detailed in the applicable microsite Terms of Use.
4.2 The Platform recognizes the following primary user roles:
- Individuals – May register as independent users to access online learning modules, engage with DEI content, or submit original materials for publication.
- Organizations – Represented by authorized administrators, organizations may create accounts under the IID Solutions microsite for PoSH compliance management, including:
- Assigning user licenses to employees and IC members
- Accessing administrative dashboards
- Generating and maintaining compliance records
- Students and Professionals – Eligible to enroll in certification courses and training programs available through the IID Academy microsite. Access includes:
- Course participation
- Progress tracking
- Certificate issuance upon completion
- Contributors – Individuals or institutional users who submit original content—such as articles, research papers, books, podcasts, or multimedia—for publication through the IID Press microsite.
- General Visitors – May browse publicly accessible content available on the Platform, especially on the Press microsite, without registration or login.
4.3 Access rights are role-based and non-transferable. Users are responsible for using the Platform only in accordance with the rights assigned to their role.
4.4 Users accessing services offered through any microsite must comply with that microsite’s specific Terms of Use, which shall be deemed incorporated by reference into these Terms.
5. License to Use the Platform
5.1 Subject to your compliance with these Terms, IID grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its available services, solely for your personal, professional, educational, or organizational use, as permitted by your user role.
5.2 This license:
- Does not convey any rights of ownership or title to you;
- Does not include any right to reproduce, modify, publicly display, distribute, or otherwise exploit the Platform’s content or software except as expressly permitted; and
- Is limited to lawful, authorized use in accordance with these Terms and any applicable microsite-specific conditions.
5.3 You may not sublicense, assign, lease, or otherwise transfer this license or access to the Platform to any other party without IID’s prior written consent.
5.4 IID reserves the right to suspend or revoke this license at any time, with or without notice, if you are found to be in breach of these Terms or any applicable law.
6. Prohibited Conduct
6.1 You agree to use the Platform only for lawful and authorized purposes. You shall not, directly or indirectly, engage in any conduct that:
a. Violates any applicable law, regulation, or judicial or governmental order;
b. Uses the Platform for any unlawful, fraudulent, misleading, or harmful purpose, including but not limited to harassment, threats, or incitement to violence;
c. Attempts to gain unauthorized access to, interfere with, damage, or disrupt:
- Any part of the Platform;
- The server on which the Platform is hosted; or
- Any server, computer, or database connected to the Platform;
d. Engages in any activity intended to circumvent, compromise, or disable security mechanisms, authentication protocols, or access controls;
e. Uploads, posts, transmits, or shares any content that is:
- Obscene, defamatory, abusive, threatening, hateful, discriminatory, or otherwise objectionable;
- In violation of any third-party intellectual property, confidentiality, privacy, or publicity rights;
f. Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with any individual, organization, or legal entity;
g. Uses automated scripts, bots, crawlers, or scrapers to access, copy, or interact with the Platform without IID’s express written permission;
h. Submits false or misleading information, or attempts to disrupt any course, training module, complaint workflow, or publishing process hosted on the Platform.
6.2 IID reserves the right, at its sole discretion, to immediately suspend, restrict, or permanently terminate your access to the Platform or any part thereof if it determines that you have violated this Section or any other provision of these Terms.
7. Platform Content and Intellectual Property
7.1 All content, features, and materials available on the Platform—including but not limited to:
- Logos, trademarks, and service marks;
- Training modules, videos, reading materials, and assessments;
- PoSH templates, policy generators, and compliance reports;
- Articles, graphics, images, audio-visual content, page layouts, software code, and interactive elements, are the exclusive property of IID or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws in India and internationally.
7.2 Subject to your user role and license as outlined in Section 5, you are granted no ownership rights in any of the Platform’s content, and you may not:
a. Reproduce, copy, modify, publish, transmit, sell, or redistribute Platform content in any form;
b. Create derivative works based on any part of the Platform, including course modules, tools, or templates;
c. Reverse-engineer, decompile, or extract the structure or source code of any Platform software or component;
d. Use IID’s trademarks, logos, or branding for any purpose without prior written authorization.
7.3 Any unauthorized use of the Platform’s intellectual property shall constitute a material breach of these Terms and may result in civil or criminal liability under applicable law.
8. User-Generated Content
8.1 Certain portions of the Platform, particularly the IID Press microsite, allow users to submit original content for publication or public access, including but not limited to:
- Articles, research papers, and essays
- Books, manuscripts, and academic contributions
- Documentaries, podcasts, and multimedia content
- Event nominations or professional profiles
8.2 Ownership: You retain full ownership of any intellectual property rights in the content you submit (“User Content”).
8.3 License to IID: By submitting User Content to the Platform, you grant IID a non-exclusive, worldwide, royalty-free, revocable, and sublicensable license to:
- Use, host, display, distribute, and reproduce the content;
- Edit, format, and adapt the content for publication purposes (with appropriate attribution);
- Archive and promote the content across IID-affiliated channels and events.
This license enables IID to publish and maintain the content as part of its public-facing DEI knowledge platform.
8.4 Your Responsibilities:
You represent and warrant that:
- The content you submit is original and that you hold all necessary rights or permissions;
- The content does not infringe upon any third-party rights, including copyrights, trademarks, or confidentiality obligations;
- You will not submit any content that is false, defamatory, plagiarized, or in violation of any applicable law.
8.5 Content Moderation:
IID reserves the right to review, edit, reject, or remove any submitted content at its sole discretion, particularly if it violates these Terms or fails to meet editorial or ethical standards.
8.6 For additional requirements, submission criteria, and editorial terms, please refer to the IID Press Terms of Use, which govern all user contributions to the Press microsite.
9. Data Protection and Privacy
9.1 IID is committed to safeguarding the personal data of all users in compliance with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and all other applicable laws and rules governing digital data protection in India.
9.2 By accessing or using the Platform, you acknowledge and agree that IID may collect, use, store, disclose, and process your personal data—including but not limited to your name, contact details, organizational affiliation, usage activity, training history, and submission records—for the purposes outlined in the Privacy Policy.
9.3 Our Privacy Policy is incorporated by reference into these Terms and governs:
- The categories of personal data we collect;
- The lawful basis for data processing;
- Your rights as a data principal; and
- Our obligations as a data fiduciary under applicable law.
9.4 By using the Platform or submitting any personal data, you expressly consent to such collection and processing as described in the Privacy Policy. You may withdraw your consent at any time, subject to the limitations described therein.
9.5 IID has appointed a Data Protection Officer (DPO) as required under the DPDPA. The DPO is responsible for overseeing compliance, handling grievances, and addressing requests related to personal data. Contact details for the DPO are provided in Section 18 of these Terms.
10. Payments and Commercial Transactions
10.1 Certain services offered on the Platform—such as organizational subscriptions (Solutions), training programs (Academy), and publishing packages (Press)—are subject to payment. The pricing structure, billing frequency, refund policy, and any applicable transaction terms for such services are set out in the respective microsite-specific Terms of Use, which are incorporated herein by reference.
10.2 All payments made through the Platform are processed via secure third-party payment gateways, such as Razorpay, PayU, or similar providers, which are PCI-DSS compliant. IID does not collect or store any credit card, debit card, or other financial information on its servers.
10.3 By initiating a payment, you:
- Authorize the Platform to transmit your transaction data securely to the third-party payment processor;
- Agree to the terms and conditions imposed by such third-party providers; and
- Understand that IID is not responsible for any errors, delays, payment failures, chargebacks, or disputes that arise between you and the payment processor.
10.4 You are solely responsible for:
- Ensuring that the payment method you use is valid and authorized;
- Paying all applicable fees, charges, and taxes (including Goods and Services Tax (GST), if applicable) associated with your use of paid services; and
- Retaining proof of payment or invoices as required for your records.
11. Third-Party Tools, Services, and Content
11.1 The Platform may incorporate or provide access to third-party content, tools, and services, including but not limited to:
- Embedded videos, podcasts, or learning modules hosted externally;
- Integration with third-party survey, certification, or publishing platforms;
- Hyperlinks to websites, articles, or external applications operated by unrelated entities.
11.2 Such third-party content and services are provided solely for your convenience or in furtherance of the Platform’s objectives, and IID does not endorse, monitor, or guarantee:
- The accuracy, completeness, reliability, legality, or availability of any third-party content or resource;
- The security, privacy practices, or data handling policies of external sites; or
- The continued accessibility or performance of such external services.
11.3 Your use of or reliance on any third-party content or service accessible via the Platform is entirely at your own risk. IID disclaims all liability arising from any interaction you may have with such third parties.
11.4 If you leave the Platform by clicking on a third-party link or using an external tool, you are subject to the terms and policies of that third-party provider, not those of IID.
12. Platform Availability and Support
12.1 While IID endeavors to provide secure, reliable, and uninterrupted access to the Platform, you acknowledge and agree that:
- Access may be temporarily suspended, limited, or degraded due to scheduled maintenance, system upgrades, technical malfunctions, or external service dependencies;
- IID does not guarantee continuous or error-free operation of the Platform or any of its features.
12.2 IID shall not be liable for any loss, delay, disruption, or unavailability of the Platform caused by:
- Internet service provider outages or latency;
- Hosting service failures or cloud infrastructure issues;
- Third-party software or payment gateway downtime; or
- Force majeure events, including acts of God, cyberattacks, governmental restrictions, or natural disasters.

13. Modifications to the Terms
13.1 IID reserves the right, at its sole discretion, to modify, update, or revise these Terms at any time, in whole or in part, for reasons including but not limited to legal compliance, service updates, policy changes, or business needs.
13.2 In the event of a material change to these Terms, IID will make reasonable efforts to notify users through:
- Prominent notices on the Platform; and/or
- Email communication to the address associated with your registered account (if applicable).
13.3 The updated version of the Terms will be indicated by a revised “Effective Date” at the top of the document and will become effective immediately upon publication unless otherwise stated.
13.4 Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and related services.
14. Termination and Account Deactivation
14.1 IID reserves the right to suspend, restrict, or permanently terminate your access to the Platform or any part thereof, with or without prior notice, under any of the following circumstances:
a. If you materially or repeatedly violate these Terms, any microsite-specific terms, or applicable law;
b. If your account is determined to be inactive for a prolonged period, as defined by internal platform policies;
c. If such action is necessary to comply with a legal, regulatory, or judicial requirement, or to protect the integrity of the Platform.
14.2 You may choose to deactivate or delete your account at any time by submitting a request through your user dashboard or by contacting IID at support@theiid.com.
14.3 Upon termination or deactivation of your account:
- Your access to the Platform and associated services will be discontinued;
- Any data, progress, or submissions associated with your account may be deleted or archived in accordance with the Privacy Policy;
- Unless otherwise specified in applicable service terms, no refunds shall be issued for any prepaid fees or unused services.
14.4 IID shall not be liable for any loss of data, certifications, published content, or service access resulting from account termination, whether initiated by you or IID.
15. Disclaimers and Limitation of Liability
15.1 The Platform and all content, features, and services provided through it are made available on an “as is” and “as available” basis. IID makes no representations or warranties of any kind, express or implied, including but not limited to:
- Warranties of merchantability;
- Fitness for a particular purpose;
- Non-infringement;
- Accuracy, reliability, or completeness of any content; or
- Availability or continuity of access.
15.2 Without limiting the generality of the foregoing, IID expressly disclaims liability for:
a. Any legal reliance placed on tools, policy templates, reports, or PoSH compliance features provided through the IID Solutions microsite;
b. Any training completion results, user assessments, or lack of job placement, professional advancement, or recognition stemming from participation in IID Academy programs;
c. Any errors, omissions, or inaccuracies in content submitted by users, contributors, or third parties on the IID Press or elsewhere;
d. Any platform downtime, delays, or disruptions caused by third-party service providers, internet outages, hosting failures, or force majeure events.
15.3 To the maximum extent permitted by applicable law, IID’s total aggregate liability, whether in contract, tort (including negligence), statutory liability, or otherwise, shall be limited to the total amount of fees actually paid by you to IID for services within the twelve (12) months preceding the date of the claim.
15.4 Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such cases, the above exclusions and limitations may apply only to the extent permitted by law.
Indemnity
16.1 You agree to indemnify, defend, and hold harmless the Institute of Inclusion and Diversity (IID), its officers, directors, employees, contractors, licensors, and affiliates (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, fines, penalties, costs, and expenses (including reasonable legal fees), arising out of or in connection with:
a. Your breach or violation of these Terms or any applicable microsite-specific terms;
b. Your misuse, unauthorized use, or negligent use of the Platform or any of its services or features;
c. Any content, material, or data you submit, publish, upload, transmit, or otherwise make available through the Platform, including but not limited to third-party claims alleging intellectual property infringement, defamation, or violation of privacy rights;
d. Your violation of any applicable law, regulation, or third-party right while using the Platform.
16.2 IID reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to fully cooperate with IID in asserting any available defenses and resolving the claim.
Governing Law and Jurisdiction
17.1 These Terms, and any dispute or claim arising out of or in connection with them (including any non-contractual disputes), shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
17.2 You agree that the courts of Mumbai, Maharashtra, shall have exclusive jurisdiction over any disputes, claims, or proceedings arising out of or relating to these Terms or your use of the Platform, unless otherwise required by applicable law.
17.3 In the case of disputes arising from paid organizational services (including but not limited to enterprise subscriptions, content publishing contracts, or training program engagements), IID reserves the right, at its sole discretion, to refer such disputes to final and binding arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai, Maharashtra, and the arbitration proceedings shall be conducted in English.
17.4 Nothing in this Section shall prevent IID from seeking injunctive or equitable relief in any jurisdiction to protect its intellectual property or confidential information.

18.4 IID has designated a Data Protection Officer (DPO) as required under applicable law. The DPO is responsible for overseeing data protection compliance and handling grievances related to personal data processing.
18.5 All written grievances will be acknowledged within seventy-two (72) hours, and IID will make reasonable efforts to provide a resolution within fifteen (15) business days of receipt, unless a longer period is required by law or due to the complexity of the issue.
19. Accessibility Commitment
19.1 The Institute of Inclusion and Diversity (“IID”) is committed to ensuring that its Platform is accessible to all users, including persons with disabilities, in line with its mission to promote diversity, equity, and inclusion.
19.2 We strive to maintain a digital environment that supports the use of assistive technologies and meets reasonable accessibility standards. However, if you encounter any barriers in accessing content, features, or services, we encourage you to notify us.

Please include a brief description of the issue and the area of the Platform affected. We will make reasonable efforts to respond and address the concern in a timely manner.
20. Miscellaneous Provisions
20.1 Entire Agreement – These Terms, together with the Privacy Policy and any applicable microsite-specific Terms of Use, constitute the entire agreement between you and the Institute of Inclusion and Diversity (IID) with respect to your use of the Platform. They supersede any prior agreements, understandings, representations, or communications, whether oral or written.
20.2 Severability – If any provision of these Terms is held to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
20.3 Waiver – No waiver by IID of any breach or default under these Terms shall be deemed a waiver of any preceding or subsequent breach or default. Any waiver shall be effective only if provided in writing and signed by an authorized representative of IID.
20.4 Force Majeure – IID shall not be held liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events beyond its reasonable control, including but not limited to: acts of God, natural disasters, cyberattacks, internet outages, governmental restrictions, labor disputes, or technical failures not caused by IID.
20.5 Assignment – You may not assign, delegate, or transfer your rights or obligations under these Terms without IID’s prior written consent. IID may assign or transfer its rights and obligations under these Terms without restriction and without prior notice.
20.6 No Agency or Partnership – Nothing in these Terms shall be construed to create any agency, partnership, joint venture, employment, or fiduciary relationship between you and IID. Your use of the Platform is independent and does not authorize you to act on IID’s behalf.
